Terms and conditions.
These Terms & Conditions (“Terms”) form the agreement between the client named in the accepted quote (“Client”, “you”) and C i Marketing (“we”, “our”, “us”). By accepting a quote, paying a deposit, or instructing us to commence work, you agree to these Terms.
If you require changes to these Terms, you must provide them in writing before work commences, and any changes must be agreed and signed by both parties.
Governing Law: These Terms are governed by the laws of New Zealand and are to be construed as a New Zealand contract. The parties submit to the exclusive jurisdiction of the New Zealand courts.
General Marketing Terms
1.1 Our commitments
C i Marketing will:
Perform services in a timely and professional manner
Respond to reasonable client queries in a timely manner
Deliver services within the agreed scope outlined in the quote (variations require approval)
Provide a timeline after project sign-off (project timelines rely on timely client inputs)
Treat confidential client information as confidential
Take reasonable care when handling client-provided materials and access
1.2 Client responsibilities
The Client agrees to:
Provide timely feedback, approvals, and required content
Ensure your representatives are authorised to give instructions and approvals
Provide materials in requested formats to avoid delays and additional costs
Retain copies of all files we provide (unless otherwise agreed in writing)
Not disclose confidential information we provide
Ensure any advice we provide is not treated as legal, financial, or business advice
Comply with third-party platform terms required to deliver services (e.g., Google, Meta, Squarespace, payment providers, printers)
1.3 Approvals and sign-off
You are responsible for reviewing and approving deliverables. Once deliverables are approved (including written approval by email), we are not responsible for errors or issues that were visible or reasonably identifiable at the time of approval.
1.4 Delays and project pauses (Client-caused)
If a project is delayed by more than 30 days due to client-related factors (including delayed feedback, failure to supply content, or dependencies), we may pause the project. To resume work, we may issue a revised quote to reflect updated timelines and resourcing.
1.5 Third-party platforms and changes
You acknowledge that third-party platforms and tools (e.g., Google, Meta, email providers, website platforms) may change, experience outages, or introduce bugs. We are not responsible for platform changes, outages, or disruptions outside our control.
Intellectual Property
2.1 Client-supplied content warranties
The Client warrants that any text, images, video, music, designs, trademarks, and other materials supplied or requested for use are owned by the Client or used with permission, and do not breach any law, copyright, privacy, or advertising standard.
2.2 Ownership and transfer
a) Photography and Videography
Unless otherwise agreed in writing:
C i Marketing (and/or its contracted photographers/videographers) retains full copyright in all photographs, video footage, and visual content created as part of our services.
Upon full payment, the Client is granted a perpetual, royalty-free, non-exclusive licence to use the final approved images and videos for their own marketing, promotional, website, social media, and advertising purposes.
This licence does not permit the Client (or any third party) to:
resell, sublicense, or commercially distribute the content to third parties
materially alter, re-edit, apply filters to, or manipulate the content without prior written consent
claim authorship or copyright ownership of the content
Raw footage, raw images, and working files are not supplied unless agreed in writing.
This wording aligns exactly with standard photography/video contracts and protects you properly.
b) Strategy, Design & Marketing Deliverables
Unless otherwise agreed in writing:
C i Marketing retains ownership of internal working files, drafts, templates, methodologies, processes, and internal documents.
Upon full payment, the Client owns the final approved deliverables produced specifically for them (such as final strategy documents, copy, design assets, or marketing materials), excluding internal process documents and unselected concepts.
Concepts, ideas, and materials not selected or approved remain the property of C i Marketing.
2.3 Portfolio use
C i Marketing may display completed work for portfolio, case studies, blogs, or promotional use unless the Client requests otherwise in writing. Commercially sensitive information will not be disclosed.
Quotes & Scope
3.1 Quotes & Scope
Quotes are valid for 30 days unless stated otherwise
Quotes, proposals, and concepts remain confidential and are the property of C i Marketing until engagement
Quotes include the agreed scope of work
Additional work requested may be charged at the standard hourly rate unless quoted otherwise
Significant scope changes may require a revised quote or project cancellation, with work completed to date invoiced
Quotes include a reasonable level of communication. Excessive communication may be charged with notice.
Payment Terms
4.1 Pricing and GST
All prices are quoted exclusive of New Zealand Goods and Services Tax (GST) unless stated otherwise.
Where GST is required under New Zealand law, it will be added to invoices at the applicable rate.
For clients based outside New Zealand, services are generally treated as exported services and may be zero-rated for GST. GST will not be charged where the supply qualifies as zero-rated under New Zealand tax legislation.
C i Marketing may issue invoices in New Zealand Dollars (NZD) or foreign currencies (including USD). Where invoices are issued in a foreign currency, amounts will be converted for New Zealand tax and reporting purposes using the applicable exchange rate at the time of invoicing or payment.
The Client is responsible for any taxes, duties, levies, or charges imposed by authorities outside New Zealand, including (but not limited to) sales tax, VAT, withholding taxes, or similar charges, where applicable.
C i Marketing does not provide tax advice. Clients should seek independent advice regarding their own tax obligations.
4.2 Deposits and schedules
All services require a non-refundable deposit prior to commencement, except for coaching which requires payment in full
Deposits/payment secure scheduling and resourcing
Deposits may be transferred within 6 months if deferred in writing
Remaining fees may be invoiced monthly or per the agreed payment schedule
4.3 Subscriptions
Subscriptions are invoiced monthly at the agreed rate.
4.4 Coaching
Coaching sessions require payment in full prior to the session.
4.5 On-charges
Third-party costs (hosting, domains, licences, subscriptions) are payable in advance and are non-refundable.
4.6 Overdue invoices
Invoices overdue by 30 days incur a 10% late payment penalty
Ongoing work may be suspended for non-payment
Invoices 60+ days overdue may be referred for debt collection, with costs payable by the Client
4.7 Card payments
Card payments may incur additional processing fees.
Payments are processed via third-party providers. C i Marketing does not store full credit card details.
Limitation of Liability
5.1 No guarantee of results
Marketing and advertising outcomes depend on factors outside our control. C i Marketing does not guarantee search rankings, engagement, leads, bookings, revenue, or return on investment.
5.2 Liability limitation
To the maximum extent permitted by law, C i Marketing is not liable for indirect or consequential loss, including loss of profit, revenue, bookings, goodwill, or reputation.
Total liability is limited to the fees paid for the services giving rise to the claim (or, for subscriptions, fees paid in the three months prior).
Client Indemnity
6.1 Client indemnity
The Client indemnifies C i Marketing against any claims, losses, costs, or damages arising from:
Client-supplied or approved content
Client instructions
Breach of these Terms
Claims made about the Client’s products or services
Refusal and Suspension of Services
7.1 Refusal and suspension of services
C i Marketing reserves the right to refuse or terminate services for unlawful, offensive, abusive, or malicious conduct, or where delivery is prevented by circumstances outside our control.
Termination
8.1 Termination
Either party may terminate with written notice, subject to any minimum term. C i Marketing may terminate immediately for non-payment or misconduct.
On termination:
All work completed to date is payable
Deliverables may be withheld until payment is received
Third-party costs remain payable and non-refundable
Disputes
9.1 Disputes
Parties agree to attempt good-faith resolution within 14 days.
If unresolved, disputes may proceed to mediation in New Zealand before court proceedings (unless urgent relief is required).
Service-Specific Terms & Conditions
The following service-specific Terms & Conditions apply in addition to C i Marketing’s General Terms & Conditions. Where there is any inconsistency, these service-specific terms prevail only in relation to the relevant service.
Strategy Services
Full Strategic Marketing Plans typically have a project duration of three (3) months and include, unless otherwise stated on the quote, a maximum of two progress meetings and one sign-off meeting.
Strategic Brand Identity projects typically have a minimum duration of four (4) months and include, unless otherwise stated, a maximum of four progress meetings and one sign-off meeting.
Strategy services are a collaborative process and rely on accurate, complete, and timely information being provided by the Client.
Strategy documents are intended to be fluid, reviewed and refined over time as the Client’s business evolves.
After sign-off, the final strategy document will be prepared in its final design format. Changes requested after this stage may incur additional fees.
Subscription Services
A subscription represents an ongoing service agreement with a defined scope and duration agreed in writing.
The Client will be invoiced a fixed monthly amount, regardless of whether actual hours worked exceed the subscription value.
If the scope of services changes, C i Marketing reserves the right to re-quote the subscription.
No guarantees are made regarding advertising performance, engagement, leads, conversions, or return on investment.
If any party other than C i Marketing interferes with subscription services (including ad accounts, websites, or platforms) and this impacts performance or functionality, additional work required to rectify issues will be quoted.
Subscription cancellations are subject to the agreed notice period. For annual subscriptions, a minimum of 90 days’ notice is required unless otherwise stated.
Work produced as part of a subscription remains the property of C i Marketing until all invoices are paid in full. We reserve the right to remove or suspend work for non-payment where reasonably possible.
Photography Services
Delivery Model
C i Marketing primarily delivers photography services remotely, through creative direction, production planning, image sourcing, and professional editing.
Photography services may include:
Editing and enhancement of client-supplied imagery
Sourcing and licensing of stock imagery
Remote creative direction and style guidance
Coordination with local photographers or contractors where required
On-location photography (including international travel) is offered only by special arrangement, quoted separately, and positioned as a premium service.
Client-Supplied Imagery
Where the Client supplies imagery:
The Client warrants they own the imagery or have permission to use it
C i Marketing is not responsible for limitations in quality, resolution, framing, or lighting inherent in supplied material
Re-edits or re-shoot requests resulting from limitations in supplied imagery may incur additional charges.
Stock Imagery
Where stock imagery is sourced:
imagery will be licensed for the agreed purpose under the relevant stock provider’s licence terms
stock licences typically allow commercial use but do not transfer copyright ownership
stock imagery costs are charged separately unless explicitly included in the quote
The Client agrees to comply with any usage restrictions imposed by stock libraries.
Copyright & Usage
C i Marketing (and/or its contracted photographers) retains full copyright in all photographs created, edited, or supplied as part of the service.
Upon full payment, the Client is granted a perpetual, royalty-free, non-exclusive licence to use final approved images for their own marketing, promotional, website, social media, and advertising purposes.
This licence does not permit:
resale, sublicensing, or redistribution to third parties
use in templates, products, or merchandise for resale
editing, filtering, or alteration by third parties without written consent
Raw images and working files are not supplied, unless agreed in writing.
On-Location & International Shoots
Where on-location or international photography is agreed:
All travel, accommodation, insurance, permits, visas, and related costs are charged to the Client
Travel dates, deliverables, and contingencies will be confirmed in writing
C i Marketing is not liable for delays, cancellations, or limitations caused by:
Weather conditions
Travel disruptions
Illness or injury
Local regulations, access restrictions, or safety considerations
If a shoot cannot proceed, C i Marketing will attempt to reschedule. Where rescheduling is not possible, fees paid for travel or third-party services may be non-refundable.
Cancellations
For remote photography services:
Work already completed or booked is non-refundable
For on-location or international shoots:
Within 30 days of the shoot: full payment non-refundable
More than 30 days: deposit may be transferred to a future date
C i Marketing is not liable for consequential losses arising from cancellation or rescheduling.
Videography Services
Delivery Model
C i Marketing primarily delivers videography services remotely, focusing on:
Creative direction and planning
Editing and post-production
Repurposing of client-supplied footage
Sourcing and licensing of stock video and motion assets
Coordinating local videographers where required
On-location or international filming is offered only by special arrangement, quoted separately, and considered premium project work.
Client-Supplied Footage
Where the Client supplies footage:
The Client warrants they own the footage or have rights to use it
C i Marketing is not responsible for technical or quality limitations inherent in supplied footage
Re-edits or structural changes requested due to limitations in supplied footage may incur additional charges.
Stock Video & Audio Assets
Where stock footage, music, or audio assets are sourced:
Assets are licensed under third-party licence terms
Licences typically allow commercial use but do not transfer copyright
Costs are charged separately unless included in the quote
The Client agrees to comply with all usage restrictions associated with licensed assets.
Copyright & Usage
C i Marketing (and/or its contracted videographers) retains full copyright in all video footage and edited video content.
Upon full payment, the Client is granted a perpetual, royalty-free, non-exclusive licence to use final approved videos for their own marketing, promotional, website, social media, and advertising purposes.
This licence does not permit:
resale, sublicensing, or redistribution
extraction or reuse of footage for unrelated projects
third-party editing or alteration without written consent
Raw footage, project files, and editable timelines are not supplied, unless agreed in writing.
On-Location & International Shoots
Where on-location or international photography is agreed:
All travel, accommodation, insurance, permits, visas, and related costs are charged to the Client
Travel dates, deliverables, and contingencies will be confirmed in writing
C i Marketing is not liable for delays, cancellations, or limitations caused by:

Design & Branding Services
Branding and design projects commence once all required information is provided by the Client.
Full branding projects typically require a minimum of three (3) months, subject to timely feedback.
Projects extending beyond six (6) months due to Client delays may incur additional charges.
Colour reproduction may vary between digital and printed formats due to technical limitations.
Fonts may render differently across devices and browsers.
Standard logo deliverables include AI, EPS, PDF, PNG, and JPG files unless otherwise agreed.
Master working files (excluding logos) are not supplied unless agreed in writing.
The Client is responsible for approving final artwork, including spelling, layout, and accuracy.
Website Services
The Client must provide full website functionality requirements prior to project commencement.
Website projects typically take a minimum of three (3) months and commence once all required content is supplied.
Unless otherwise quoted, imagery and graphics are supplied by the Client.
Websites are built to be responsive across modern devices, noting that display differences may occur.
Hosting, email, domains, and licences are not included unless stated and are non-refundable once purchased.
Non-payment may result in suspension of hosting or services without liability for resulting losses.
C i Marketing is not responsible for user errors, third-party platform issues, or ongoing updates unless agreed via subscription.
Advertising Services
No guarantees are made regarding performance, reach, leads, conversions, or return on investment.
Advertising outcomes depend on factors beyond C i Marketing’s control.
If third parties interfere with ad accounts or campaign assets, additional work required to resolve issues will be quoted.
Advertising work remains the property of C i Marketing until paid in full. We reserve the right to remove or suspend work for non-payment where reasonably possible.
C i Marketing is not liable for losses resulting from platform outages, hacks, or third-party provider failures.
Coaching Services
Coaching sessions are collaborative and require active participation by the Client.
The Client is responsible for their decisions and outcomes following coaching.
A minimum of 72 hours’ notice is required to cancel or reschedule a session. Cancellations within 72 hours may incur a fee.
C i Marketing reserves the right to terminate a session if the Client is disruptive or unwilling to participate. No refunds apply in this case.
Coaching materials are for the Client’s personal use only and may not be shared or reproduced without written consent.
Social Media Services
Delivery Model
C i Marketing delivers social media services primarily remotely, including strategy, content planning, creative direction, content creation, scheduling (where applicable), and performance reporting.
Services may include:
Creation and editing of content using client-supplied imagery or footage
Sourcing and licensing of stock imagery or video
Use of AI-assisted tools for content creation, editing, or ideation where appropriate
Coordination of content across multiple platforms
On-location content capture (including international travel) is offered only by special arrangement, quoted separately, and positioned as premium project work.
Content Creation (Client-Posted Content)
Where social media content is created and supplied ready-to-post:
The Client is responsible for:
Posting, scheduling, and publishing content
Monitoring comments, messages, and engagement
Ensuring posts are published in a timely manner
C i Marketing is not responsible for:
Missed posting opportunities
Platform errors or scheduling issues once content has been supplied
Performance outcomes resulting from posting delays or inconsistent publishing
Social Media Management
Where full social media management is included:
C i Marketing will manage content planning, creation, scheduling, and publishing for agreed platforms.
Basic community management may be included where stated, but does not include:
24/7 monitoring
Crisis management
Handling complaints, refunds, or customer service issues
The Client remains responsible for:
Product/service accuracy
Pricing, availability, and fulfilment
Responding to enquiries requiring operational or commercial decisions
Client-Supplied Content
Where the Client supplies imagery, video, captions, or other assets:
The Client warrants they own the content or have permission to use it
C i Marketing is not responsible for quality, resolution, framing, or brand consistency limitations inherent in supplied materials
Additional editing or rework required due to limitations in supplied content may incur additional charges.
Stock & AI-Assisted Assets
Where stock imagery, stock video, music, or AI-assisted assets are used:
assets are licensed under third-party licence terms
copyright remains with the original rights holder
usage is limited to the agreed scope and platforms
The Client agrees to comply with all usage restrictions imposed by third-party providers.
Copyright & Usage
C i Marketing retains copyright in all social media content created, including graphics, captions, videos, templates, and creative concepts.
Upon full payment, the Client is granted a perpetual, royalty-free, non-exclusive licence to use the final approved content for their own social media and digital marketing purposes.
This licence does not permit:
Resale or sub-licensing of content
Use of content in templates or products for resale
Third-party editing, alteration, or reuse without written consent
Editable working files and templates are not supplied unless agreed in writing.
Social Media Advertising
Where paid social media advertising services are provided:
C i Marketing will manage campaign strategy, creative direction, setup, optimisation, and reporting as agreed.
Advertising spend is separate and paid directly by the Client to the advertising platform.
C i Marketing does not guarantee:
Reach, impressions, clicks, conversions, leads, bookings, or return on investment
Campaign performance is influenced by factors outside C i Marketing’s control, including:
Platform algorithms and policy changes
Audience behaviour
Offer quality, pricing, landing pages, and market conditions
If any party other than C i Marketing interferes with ad accounts or campaigns, additional work required to rectify issues may be quoted.
Platform Limitations & Changes
Social media platforms may:
Change algorithms, features, formats, or policies
Remove or restrict content
Suspend or disable accounts
C i Marketing is not responsible for losses, reduced performance, or account actions resulting from platform changes or enforcement decisions.
Approvals & Responsibility
Where approvals are required, the Client is responsible for reviewing and approving content promptly.
Once content is approved or published, C i Marketing is not responsible for:
errors not identified during approval
audience interpretation or response
public reaction or engagement outcomes
Cancellations & Changes
For remote social media services, work completed or committed is non-refundable.
Subscription changes or cancellations are subject to the notice periods outlined in the General Terms.
Significant changes to scope may require a revised quote or agreement.
Audit Services
The free visual marketing audit is provided as a complimentary service and is delivered at C i Marketing's discretion. No guarantee is made regarding delivery timeframes for the free audit.
The premium marketing audit is a paid service delivered within two business days of receipt of all required information from the client.
Audit reports are produced based on publicly available information and information supplied by the client. C i Marketing does not guarantee the accuracy or completeness of third-party data reviewed as part of the audit.
Audit reports are for the client's personal and business use only and may not be resold or redistributed.
No guarantee is made regarding business outcomes, bookings, revenue, or results arising from implementing audit recommendations.
The premium audit is non-refundable once the report has been delivered.
Payment for the premium audit is processed in USD via Stripe. C i Marketing does not store payment details.
